Sefarim Terms of Service
These Terms of Service ("Terms") govern access to and use of the Sefarim platform, website, mobile applications, services, content distribution systems, APIs, subscription services, and related services operated by Faith IT Consult Ghana Limited ("Faith IT Consult", "Sefarim", "we", "our", or "us").
Faith IT Consult Ghana Limited is a Ghanaian technology company providing ICT consultancy, software development, mobile application development, web applications, API development, data management, and digital content distribution services.
By accessing, registering for, uploading content to, purchasing from, subscribing to, or otherwise using Sefarim, you agree to be bound by these Terms. If you do not agree, you must not use Sefarim.
Important: These Terms apply to all Users, Authors, publishers, contributors, organizations, agents, and any person or entity using Sefarim.
1. Definitions
Author means any individual, organization, publisher, representative, estate, rights holder, or other person that uploads, submits, licenses, distributes, sells, or otherwise provides content through Sefarim.
User means any individual or entity accessing, purchasing, reading, listening to, downloading, streaming, subscribing to, or otherwise using content available through Sefarim.
Content includes books, eBooks, audiobooks, manuscripts, text, images, graphics, cover art, video, audio, metadata, descriptions, author biographies, promotional material, comments, reviews, files, and all other digital materials uploaded, submitted, generated, processed, or stored through Sefarim.
Platform means the Sefarim website, mobile applications, servers, APIs, databases, payment systems, subscription systems, analytics tools, artificial intelligence systems, content management systems, and all related services.
Dividends means Author earnings, royalties, commissions, revenue share, subscription allocations, or other amounts calculated as payable to Authors under Sefarim's internal payment rules.
2. Eligibility
You must be at least 18 years old or have authorization from a parent, guardian, institution, or lawful representative to use Sefarim.
By using Sefarim, you represent that the information you provide is accurate, complete, current, and not misleading.
3. Account Registration and Security
Users and Authors may be required to create accounts to access certain services. You are responsible for keeping your account credentials secure and for all activity conducted under your account.
Faith IT Consult may suspend, restrict, terminate, delete, or refuse any account at any time, with or without explanation, especially where we suspect fraud, piracy, misuse, breach of these Terms, legal risk, reputational risk, or security risk.
4. General Platform Rights
Faith IT Consult reserves the right to manage Sefarim in any manner it considers appropriate. This includes the right to approve, reject, remove, rank, demote, promote, feature, bundle, modify, suspend, restrict, or terminate any User, Author, account, book, file, pricing arrangement, subscription participation, promotional activity, or content item at any time, with or without explanation.
5. Author Content Agreement
5.1 Exclusive Digital Distribution Rights
By uploading, submitting, or allowing content to be uploaded to Sefarim, the Author grants Faith IT Consult exclusive worldwide digital distribution rights for the uploaded content.
These rights include, but are not limited to, the right to distribute, sell, license, stream, host, store, encrypt, display, preview, advertise, promote, bundle, lend, include in subscriptions, and otherwise make the content available through digital means.
The Author agrees not to digitally distribute identical content through competing digital platforms during the period the content remains available on Sefarim, unless Faith IT Consult gives written permission or unless a separate written agreement provides otherwise.
5.2 Marketing and Advertising Rights
The Author grants Faith IT Consult perpetual, irrevocable, royalty-free, worldwide rights to use all information and materials provided by the Author for marketing, advertising, publicity, promotion, sales, and platform growth.
This includes Author names, pen names, photographs, biographies, book titles, descriptions, excerpts, cover artwork, reviews, interviews, social media posts, audio, video, images, and any other material supplied to Sefarim.
Faith IT Consult may use such materials on websites, mobile applications, social media, radio, television, print media, presentations, launch campaigns, subscription campaigns, email campaigns, paid advertisements, and future promotional channels.
5.3 Artificial Intelligence and Machine Learning Rights
The Author grants Faith IT Consult perpetual, irrevocable, transferable, sublicensable, royalty-free, worldwide rights to use all uploaded and submitted content, including book content, manuscripts, audio, video, images, metadata, descriptions, and all forms of digital content added to our systems, for artificial intelligence and machine learning purposes within Faith IT Consult's applications, systems, and services.
These purposes may include AI model training, AI model fine-tuning, search systems, recommendation systems, content classification, content analysis, text-to-speech systems, speech-to-text systems, summarization, moderation, personalization, automated insights, fraud detection, anti-piracy systems, and future AI technologies developed or adopted by Faith IT Consult.
These AI and machine learning rights continue even if the Author removes a book, removes multiple books, closes an account, stops using Sefarim, or requests withdrawal from the platform.
5.4 Perpetual Rights After Withdrawal
Authors may request removal of a book, multiple books, or their entire account. However, Faith IT Consult's rights remain in perpetuity for uploaded content already submitted to our systems, including rights connected to storage, security, records, advertising, analytics, AI model use, audit logs, anti-piracy systems, and historical business operations.
5.5 Content Removal by Authors
An Author may request that a book be removed from sale or removed from the public store. Removal from the store does not revoke access from Users who already purchased or lawfully obtained the book, unless Faith IT Consult determines that revocation is necessary for legal, security, licensing, fraud, or policy reasons.
Books already sold cannot normally be revoked from Users who own them. They may only be removed from future sale in the store. However, Faith IT Consult reserves the right to revoke User access where required by law, rights disputes, fraud, piracy concerns, licensing concerns, or platform policy.
5.6 Subscription Inclusion
Faith IT Consult reserves the right to include any Author's books or content in subscription-based lists, bundles, promotional packages, institutional packages, free trials, reading plans, educational plans, or other access models.
Faith IT Consult may determine how subscription revenue is calculated, allocated, reported, delayed, reduced, or paid. Subscription inclusion does not require separate approval from the Author unless a separate written agreement says otherwise.
5.7 Pricing Approval and Rejection
Authors may propose or request pricing for their books and content. However, Faith IT Consult reserves the right to reject, modify, delay, suspend, or refuse any price at any time.
Faith IT Consult may reject prices it considers commercially unsuitable, technically unsuitable, unfair to Users, inconsistent with platform strategy, inconsistent with subscription plans, legally risky, reputationally risky, or otherwise inappropriate.
5.8 Right to Reject Books, Content, Users, and Authors
Faith IT Consult reserves the right to reject, remove, suspend, restrict, blacklist, demote, or terminate any book, content item, User, Author, account, transaction, or platform activity at any point in time, with or without explanation.
5.9 Commission and Revenue Share Changes
Faith IT Consult may change Author commission rates, revenue share models, dividend calculations, subscription allocation formulas, payment thresholds, or payout methods at any time.
Where commission changes affect future earnings, Faith IT Consult will provide prior notice before the change takes effect. Continued use of Sefarim after notice constitutes acceptance of the updated commission terms.
6. Author Payments and Dividends
Author Dividends will be paid on the 1st day of every month when, and only if, the Author's pending Dividends are equal to or exceed GHS 1,000.00.
If pending Dividends are below GHS 1,000.00, the balance will roll over to the next payment period.
Faith IT Consult may delay, withhold, reverse, reduce, or offset payments where necessary because of refunds, chargebacks, suspected fraud, piracy, rights disputes, tax obligations, incorrect payment details, payment processor delays, accounting reviews, legal claims, or breach of these Terms.
Authors are responsible for providing accurate payment information and for satisfying any tax obligations arising from their earnings.
7. User Purchases and Access
When a User purchases a book or other digital content on Sefarim, the User receives a limited, revocable, non-exclusive, non-transferable license to access that content through Sefarim-approved systems.
A purchase does not transfer copyright, publishing rights, resale rights, reproduction rights, distribution rights, public performance rights, or any ownership interest in the content.
Users may not sell, lend, rent, transfer, upload, copy, extract, reproduce, modify, distribute, or publicly share Sefarim content unless expressly permitted in writing by Faith IT Consult and the relevant rights holder.
8. Revocation of User Access
Faith IT Consult reserves the right to revoke a User's ownership, license, or access to any book, multiple books, subscription content, account, or library at any time with prior notice.
Reasons may include piracy, fraud, chargebacks, rights disputes, legal claims, copyright complaints, account misuse, payment issues, platform abuse, Author disputes, security risks, or breach of these Terms.
Refunds may or may not be provided depending on the circumstances and applicable law.
9. Anti-Piracy Policy
Piracy of any content is strictly prohibited. This includes piracy of all books on Sefarim, whether obtained from Sefarim or from any other source.
Prohibited piracy-related activity includes, but is not limited to:
- Copying, extracting, photographing, recording, screen capturing, scanning, or reproducing protected content;
- Sharing, selling, renting, lending, uploading, or distributing Sefarim content outside the platform;
- Removing, breaking, bypassing, weakening, reverse engineering, or attempting to defeat Sefarim's security, DRM, encryption, or access-control systems;
- Downloading, purchasing, requesting, using, promoting, or distributing pirated copies of books that are available on Sefarim;
- Using third-party tools, bots, scripts, emulators, modified applications, or unauthorized devices to access or copy content;
- Encouraging, assisting, funding, hiding, or enabling piracy by others.
Violation may result in temporary ban, revocation of book access, revocation of multiple books, subscription cancellation, permanent ban, device blocking, account termination, withholding of Author Dividends, removal of Author content, civil legal action, criminal referral, or any other remedy available to Faith IT Consult.
10. Intellectual Property
All platform software, applications, APIs, source code, databases, business logic, algorithms, encryption methods, user interfaces, designs, trademarks, branding, logos, workflows, analytics systems, AI systems, and related technology are owned by Faith IT Consult or its licensors.
No person may copy, modify, reverse engineer, decompile, scrape, reproduce, sell, license, or exploit any part of the Sefarim platform without written permission.
11. Author Warranties
By submitting content, the Author warrants that:
- The Author owns or controls all rights necessary to submit and distribute the content;
- The content does not infringe copyright, trademark, privacy rights, publicity rights, contractual rights, or other rights of any third party;
- The content is not unlawful, defamatory, fraudulent, malicious, or misleading;
- The Author has full authority to grant the rights described in these Terms;
- The content does not contain malware, hidden tracking code, unauthorized personal data, or harmful files.
12. Prohibited Content
Faith IT Consult may reject or remove content that it considers unlawful, infringing, abusive, fraudulent, pornographic, exploitative, hateful, malicious, misleading, technically harmful, reputationally harmful, commercially unsuitable, or otherwise inappropriate for Sefarim.
13. Reviews, Comments, and User Submissions
Users may be allowed to submit ratings, comments, reviews, reports, feedback, or other materials. By submitting such materials, Users grant Faith IT Consult a worldwide, perpetual, royalty-free license to use, display, edit, remove, moderate, analyze, publish, or repurpose them for platform operations, marketing, analytics, and AI systems.
14. Payments, Refunds, and Chargebacks
Payments may be processed through mobile money, cards, payment gateways, subscriptions, institutional accounts, vouchers, or other supported methods.
All purchases are generally final unless Faith IT Consult decides otherwise or applicable law requires a refund.
Chargebacks, fraudulent payments, reversed payments, or disputed transactions may lead to access revocation, account suspension, or Author payment adjustment.
15. Subscriptions
Sefarim may offer subscription-based access to selected content. Subscription availability, pricing, book lists, access limits, Author participation, and payment formulas may change at any time.
Faith IT Consult may add or remove content from subscription lists without requiring approval from Users or Authors.
16. Platform Availability
Sefarim is provided on an "as is" and "as available" basis. Faith IT Consult does not guarantee uninterrupted access, permanent storage, error-free operation, compatibility with all devices, or continuous availability of any specific book, account, feature, payment method, or subscription plan.
17. Security and DRM
Sefarim may use encryption, device restrictions, access keys, account checks, server-side verification, logging, watermarking, or other security measures. Users and Authors must not bypass, attack, disable, reverse engineer, or interfere with such measures.
18. Data and Analytics
Faith IT Consult may collect and analyze data relating to purchases, reading activity, devices, accounts, subscriptions, engagement, search activity, book performance, Author earnings, and platform usage for business operations, security, analytics, marketing, reporting, recommendation systems, and AI development.
19. Termination
Faith IT Consult may suspend or terminate access to Sefarim at any time. Termination does not affect rights that accrued before termination, including perpetual rights granted to Faith IT Consult, payment obligations, indemnities, anti-piracy obligations, records retention, and AI-related rights.
20. Indemnification
Users and Authors agree to indemnify and hold harmless Faith IT Consult, its directors, employees, contractors, partners, agents, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from their content, conduct, breach of these Terms, infringement of rights, piracy, fraud, or misuse of Sefarim.
21. Limitation of Liability
To the maximum extent permitted by law, Faith IT Consult shall not be liable for lost profits, lost revenue, lost data, lost sales, business interruption, reputational loss, indirect damages, incidental damages, punitive damages, consequential damages, or losses arising from platform use, content removal, account suspension, access revocation, payment delays, technical failures, or third-party services.
22. Changes to These Terms
Faith IT Consult may update these Terms at any time. Updated Terms become effective when published on Sefarim or when notice is otherwise provided. Continued use of Sefarim after an update constitutes acceptance of the revised Terms.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Ghana. Any dispute arising from or relating to Sefarim, these Terms, content distribution, payments, account access, or platform use shall be subject to the courts of Ghana, unless Faith IT Consult elects another lawful forum for urgent injunctive relief or enforcement.
